TERMS & CONDITIONS

DEFINITIONS

In these terms and conditions, the following terms shall have the following meanings:

1.1 “Company” means The HR Factory.

1.2 “Client” means any person, company, or other entity that engages the services or Purchase of any Product of the Company.

1.3 “Candidate” means any person who is seeking employment or work through the services of the Company. – Is this Line Necessary to write as We are only Selling Product here

1.4 “Services” means the recruitment, employment, and HR services provided by the Company.

1.5 “Agreement” means these terms and conditions, as well as any other document agreed in writing between the Company and the Client.

2. SERVICES


2.1 The Company shall provide the Services to the Client in accordance with the terms of this Agreement.

2.2 The Services shall be provided with reasonable skill and care and in accordance with all applicable laws and regulations.

2.3 The Company reserves the right to refuse to provide the Services to any Client or Candidate at its sole discretion.

2.4 The Company shall use its reasonable endeavors to provide suitable Candidates for the Client’s vacancies, but does not guarantee the suitability of any Candidate.

3. CLIENT OBLIGATIONS


3.1 The Client shall provide the Company with all necessary information and assistance to enable the Company to provide the Services.

3.2 The Client shall pay the Company’s fees in accordance with the terms of this Agreement.

3.3 The Client shall comply with all applicable laws and regulations in relation to the Services.

4. CANDIDATE OBLIGATIONS 4.1 The Candidate shall provide the Company with all necessary information and assistance to enable the Company to provide the Services.

4.2 The Candidate shall comply with all applicable laws and regulations in relation to the Services.

5. FEES AND PAYMENT


5.1 The Client shall pay the Company’s fees in accordance with the terms of this Agreement.

5.2 The Company’s fees shall be as set out in the Agreement or, if not set out, as agreed between the parties in writing.

5.3 The Client shall pay the Company’s fees or Product Charges within the time period specified in the Agreement.

5.4 The Company reserves the right to charge interest on any late payments at the rate of [insert rate]% per annum.

6. CONFIDENTIALITY


6.1 The Company shall keep all information relating to the Client and the Candidate confidential and shall not disclose such information to any third party without the prior written consent of the Client or Candidate, as applicable.

6.2 The Company shall use all reasonable endeavours to ensure the security of such information.

7. LIABILITY


7.1 The Company shall not be liable to the Client or any third party for any loss or damage arising from or in connection with the Services, except to the extent that such loss or damage is caused by the Company’s negligence or breach of this Agreement.

7.2 The liability of the Company shall in any event be limited to the amount of the fees paid by the Client to the Company for the Services.

8. TERMINATION


8.1 Either party may terminate this Agreement by giving written notice to the other party.

8.2 Termination of this Agreement shall not affect any rights or obligations that have already accrued at the time of termination.

9. GENERAL


9.1 This Agreement constitutes the entire agreement between the parties and supersedes all previous agreements and understandings, whether written or oral.

9.2 This Agreement may not be amended or varied except in writing signed by both parties.
